TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
By accessing boltise.com or engaging Boltise Pvt. Ltd. ("Boltise") for services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
2. DESCRIPTION OF SERVICES
Boltise provides software development, AI engineering, automation, SaaS development, web application development, cloud/DevOps infrastructure, and game technology services ("Services"). The specific scope, deliverables, and timeline for each engagement are defined in a separate Statement of Work (SOW) or project proposal.
3. CLIENT RESPONSIBILITIES
You agree to:
- •Provide accurate information about your project requirements
- •Respond to communications in a timely manner
- •Provide necessary access, credentials, and resources for project completion
- •Review and approve deliverables within agreed timeframes
- •Ensure you have the rights to any content, data, or materials you provide
4. INTELLECTUAL PROPERTY
Upon full payment for a project, the client owns 100% of the custom code, designs, and deliverables created specifically for their project. Boltise retains rights to any pre-existing tools, frameworks, libraries, or methodologies used in the development process. Third-party libraries remain subject to their respective licenses.
5. PAYMENT TERMS
Payment terms are outlined in the project proposal or SOW. Standard terms are 30% upfront, 40% at project midpoint, and 30% upon delivery. Retainer engagements are billed monthly in advance. Invoices are due within 14 days of issuance. Late payments may incur a 2% monthly interest charge.
6. CONFIDENTIALITY
Boltise treats all client information as confidential. We will sign your NDA before discussions begin. We will not disclose your business information, project details, or proprietary data to third parties without your explicit consent, except as required by law.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Boltise's total liability for any claims arising from our services shall not exceed the total amount paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
8. TERMINATION
Either party may terminate a project engagement with written notice. For project-based work, completed milestones are non-refundable. For retainer agreements, 30 days written notice is required. Upon termination, Boltise will deliver all completed work and relevant materials.
9. DISPUTE RESOLUTION
In the event of a dispute, both parties agree to attempt good-faith resolution through direct communication within 30 days. If unresolved, disputes shall be subject to binding arbitration under Indian law.
10. GOVERNING LAW
These Terms are governed by the laws of India. Any legal proceedings shall be conducted in the courts of Gujarat, India.
11. CHANGES TO TERMS
We reserve the right to modify these terms at any time. We will notify existing clients of material changes. Continued use of our services constitutes acceptance of the updated terms.
